These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Fileloom ("we," "us," or "our") governing your access to and use of the Fileloom PDF generation API service, website, and related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
Fileloom provides a cloud-based API service that enables developers and businesses to programmatically generate PDF documents from HTML templates. The Service includes:
- PDF generation API endpoints
- Template creation and management dashboard
- File storage and retrieval
- Webhook notifications
- Integration with external storage providers
- Usage analytics and reporting
3. Account Registration
3.1 Eligibility
You must be at least 16 years old and capable of forming a binding contract to use the Service. By registering, you represent that you meet these requirements.
3.2 Account Creation
To access the Service, you must create an account by providing accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Keeping your account information up to date
3.3 API Keys
API keys grant access to your account and should be treated as sensitive credentials. You are solely responsible for securing your API keys and any actions performed using them.
4. Acceptable Use
4.1 Permitted Use
You may use the Service to generate PDF documents for lawful business purposes, including but not limited to:
- Invoices, receipts, and financial documents
- Contracts and legal documents
- Reports and analytics
- Certificates and credentials
- Marketing materials and brochures
4.2 Prohibited Use
You agree not to use the Service to:
- Generate illegal, fraudulent, or deceptive documents
- Create counterfeit currency, identification, or official documents
- Distribute malware, viruses, or harmful code
- Violate intellectual property rights of others
- Generate content that is defamatory, obscene, or harmful
- Engage in activities that violate applicable laws or regulations
- Attempt to gain unauthorized access to our systems
- Reverse engineer, decompile, or disassemble the Service
- Resell or redistribute the Service without authorization
- Exceed rate limits or abuse the API in any way
5. Subscription Plans and Billing
5.1 Plans
We offer various subscription plans with different features and usage limits. Plan details, including pricing and limits, are available on our website and may be updated from time to time.
5.2 Free Plan
The free plan provides limited access to the Service. We reserve the right to modify or discontinue the free plan at any time.
5.3 Paid Subscriptions
Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing to a paid plan, you authorize us to charge your payment method for the applicable fees.
5.4 Credit Packs
Additional PDF generation credits may be purchased as one-time credit packs. Credits are non-refundable and expire according to the terms specified at purchase.
5.5 Price Changes
We may modify pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle.
5.6 Refunds
Subscription fees are generally non-refundable, except as required by law or at our sole discretion. Credit pack purchases are non-refundable.
6. Intellectual Property
6.1 Our Intellectual Property
The Service, including its design, features, code, and documentation, is owned by Fileloom and protected by intellectual property laws. You may not copy, modify, or create derivative works of the Service.
6.2 Your Content
You retain ownership of all content you submit to the Service, including HTML templates, data, and generated PDFs. By using the Service, you grant us a limited license to process your content solely for the purpose of providing the Service.
6.3 Feedback
Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation to you.
7. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the practices described in the Privacy Policy.
8. Service Level and Availability
8.1 Uptime
We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted access and may experience downtime for maintenance, updates, or unforeseen issues.
8.2 Support
Support is provided according to your subscription plan. Response times and support channels vary by plan level.
8.3 Modifications
We may modify, update, or discontinue features of the Service at any time. We will provide reasonable notice for material changes that may affect your use of the Service.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be error-free, secure, or uninterrupted, or that any defects will be corrected.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FILELOOM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Fileloom and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Content you submit through the Service
12. Termination
12.1 By You
You may terminate your account at any time through your dashboard settings or by contacting support. Termination does not entitle you to a refund of any prepaid fees.
12.2 By Us
We may suspend or terminate your account if you violate these Terms, engage in prohibited conduct, or fail to pay applicable fees. We will provide notice when reasonably possible.
12.3 Effect of Termination
Upon termination, your right to access the Service ceases immediately. Your data may be deleted according to our data retention policies. Provisions that should survive termination will remain in effect.
13. Dispute Resolution
13.1 Informal Resolution
Before initiating formal proceedings, you agree to contact us to attempt to resolve any dispute informally.
13.2 Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
13.3 Jurisdiction
Any disputes arising from these Terms shall be resolved exclusively in the courts located in Delaware, and you consent to the personal jurisdiction of such courts.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Fileloom regarding the Service.
14.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
14.3 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
14.4 Assignment
You may not assign your rights under these Terms without our consent. We may assign our rights to any affiliate or successor.

15. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
